
Experienced paralegal with a background in the following practices of law: corporate governance, commercial real estate, contract management, formations/dissolutions, M&A financings, litigation and bankruptcy.
· Work closely with one or more corporate clients
· Assist with project management work regarding organization of corporate practices and entity management
· Manage calendaring/scheduling/meetings and correspondence between client and practice group
· Draft corporate formation documents and corporate contracts
· Manage corporate filing deadlines
· Maintain spreadsheets containing data regarding several legal projects per client
· Communicate closely with registered agent’s office, draft required forms for maintaining good standing in specific states per each entity and send to registered agent for filing on client’s behalf
· Calendar and manage Zoom and in-person meetings for attorneys and new clients
· Collect information from attorneys and new clients for conflicts checks
· Draft and send engagement letters, as well as various correspondence with clients
· File EIN applications for client’s newly formed corporate entities
· Review and edit company agreements, certificates of formation as well as long-form real estate documents
· Prepare checklists for attorneys in real estate transactions
· Prepare, review and edit multiple documents per day related to private equity, corporate formations, mergers and acquisitions and dissolutions
· Assist attorneys with venture capital financings, mergers & acquisitions, IPO’s and general corporate matters
· Draft and issue digital share certificates to clients in financings
· Establish relationships with clientele and follow-up with clients on status of financing maters via email and phone
· Create and manage client portfolios within Carta financing software
· Prepare drafts of stock options
· Assist attorneys in preparation of 409A valuations
● Draft, edit and manage corporate governance documents
● Proofread and edit long-form real estate documents
● Provide administrative support to corporate, real estate and tax attorneys
● Manage, organize and maintain multiple client files through iManage
● Arrange scheduling of in-person and Zoom meetings with high-level clientele
● Handle entity formation and management including EIN applications, certificates of formation in Texas and Delaware
● Support corporate governance matters, transactions and due diligence
● Manage corporate filings for all subsidiary and related entities
● Coordinate bi-weekly executive team meetings/calls
● Provide accounting support to president and CEO of company by managing multiple spreadsheets tracking project expenses and receipts per month
● Draft employee agreements, real estate closing documents and closing packages, along with multiple corporate/organizational documents
● Assist executive team with travel plans and personal/business calendars
● Coordinate shipments of architectural design goods for delivery to real estate development sites in the U.S. Virgin Islands
● Create and modify complex legal documents using Microsoft Word and Excel
● Arrange, schedule, maintain and update attorney calendars
● Assist with opening new client files by providing specific client-related information to conflicts department and preparing engagement letters to send to clients
● Insert revisions into and format corporate legal documents
● Provide meeting support, to include preparing FedEx labels, scheduling messengers or other vendors for document pick-up
● Assist with time entry and preparation of expense reports, each as requested
● File corporate organizational formation documents with the Texas Secretary of State’s Office online
● File EIN applications with the IRS
● Prepare, edit, and proofread a variety of documents, e.g. correspondence, agreements & corporate documents
● Maintain multiple calendars to include coordination & scheduling of high-profile meetings, conference calls and WebEx meetings, send calendar invitations & reminders, reserve conference rooms/off-site venues and visitor offices
● Handle New Business Intake matters by working with Records, Accounting and Conflicts departments to request new files, client/matter numbers, and assist with conflicts review process
● Work with associates and partners to organize, prepare and send closing binders
● Exercise judgment and delegate administrative tasks as needed to the appropriate firm resources or staff member. Delegate and maintain responsibility for and track all activities/tasks/projects through to successful completion
● Maintain and process confidential information in a trustworthy manner
● Import/review case data weekly in regard to past & future hearings
● Prepare all 341 Hearing files for bankruptcy trustee
● E-file motions, conclusions, resets, notices & post-hearing case status via Pacer
● Handle receipt of funds (deposits) in asset cases

● Assist Trustee Assistant with large mail-outs & draft pleadings
