Member of the Pacific Series Transaction Advisary Practice (TAP), formerly known as the Private Equity & Corporate Acquisition Practice. As a Project Manager within the practice, my responsibilities included:


  • Writing Employee Benefit Due Diligence Reports: responsible for the colletcing and synthesis of a myriad of documents/data associated with employer sponsored or third party controlled (PEO, MEWA, Associations Etc) health and welfare benefit programs. Areas addressed in reports include historical and active compliance status (ERISA, 401K testing, ACA), current and projected annual benefit spend and actuarial value benchmarking.
  • Providing strategic benefit consulting necessary for deal closing and change in ownership. Each project demanded unique solutions to satisfy the buyer obligations stated in the merger agreements. Paramount goal to establish gameplan with client partner to eliminate any disruption at date of close
  • Liasion to CSR teams assigned to incumbent clients undergoing an add-on acquisition. Role required educating colleagues assigned to the impacted entity on the critical features of the transaction and meeting expected timeline.

  • Close to ten years of consistent production and timely distribution of Employe Benefit Due Diligence Reports
  • Managed over 900 projects for 14 different Private Equity clients.
  • Deal values ranged significantly from valuations of 8 figures up to multi-billion dollar transactions.
  • Target acquisitions originated from a wide variety of industries and domestic/international locations.
  • Most common deal profile: stock acquisition of a SaaS/Business Tech entity with roughly 300 FTE eligible group size. Liabilities limited to the payment of monthly premiums
