• Management and Business Development: Built a successful Hybrid Law Firm/Business Consulting Firm from the ground up by developing a multi-million dollar book of business, spearheading client and business development, implementing traditional and digital marketing plans, and recruiting, hiring, and managing over a dozen attorneys, consultants, and support staff.

• Business Formation: Business structuring and formation (included drafting formation and ownership instruments such as incorporation documents, bylaws, etc). Counseled clients on issues related to founder equity and taxation (such as 81B elections and preventing dilution).
• Investment Advisory Services: Structured and negotiated investments between founders/companies and VC firms or investors including debt and equity financing for initial capital investments and subsequent rounds (included drafting all transactional documents beginning with Term Sheets through. e.g., Asset Purchase Agreements); conducted all ancillary due diligence; and ensured successful closing and securities compliance.
• M&A: Successfully represented clients in various mergers and acquisitions with often complex structures, such as reverse triangular mergers, leveraged buyouts, etc. Combined deal values of over $250 million.
• Business Law Services: Advised businesses on day-to-day business activities such as employment law, sales and purchase agreements, online activities, etc. Drafted legal documents such as TOS, MSA, SLA, Privacy Agreements, employment agreements and terminations, stock purchase agreements, consulting agreements, etc. Provided legal document & contract review services and discovery & litigation support services.
• Business Consulting Services: Offered a complete suite of business consulting services including deal flow, feasibility studies, business plans, marketing plans (encompassing market research & analysis), financial modeling (e.g., DCF, DSCR, NPV, IRR and SWOT analysis), and due diligence for potential acquisitions. Implemented process improvement to shape organizational cultures, optimize procedures for higher efficiency and drive growth.
• Middle East Practice Group: Over 15 years of expertise in cross-border transactions between the United States and the Middle East (specifically, Saudi Arabia, U.A.E., Egypt, Kuwait and Iraq). Focused on enabling U.S. companies to successfully expand in the Middle East market by establishing local subsidiaries and/or winning multi-million dollar government contracts. Successfully advised on deals collectively valued at approximately $1.5 billion. Expert knowledge of business laws and regulations in Saudi Arabia and U.A.E.
• Islamic Finance Practice: Published author and recognized expert on Islamic Finance. Structured shari'a compliant investments and business practices including Sukuk Investments tailored to underlying assets and objectives while ensuring regulatory compliance with the Dubai Financial Markets and/or the Capital Markets Authority regulations and market practice. Broad experience structuring diverse shari'a compliant financial products and contracts including Wadiahs (custody agreements), Mudharabahs (profit-sharing), Musharakahs (Joint Ventures/Partnerships), and Murabahas (mortgages).
• Off-shore Asset Protection Strategies for HNW Individuals and Family Offices: Partnered with law firms in various off-shore jurisdictions such as Cayman Islands, BVI, and Jersey to assist High Net Worth Clients and Family Offices in developing a structure to protect and administer assets while minimizing risk and tax liabilities.
• Business Immigration Services: successfully represented over 100 business immigration clients including individuals and corporations in obtaining the following visas: EB-5 Immigrant Investor Visas, H1-B visas, L1-A/B visas, and E-1/2 visas, among others. Special focus on the EB-5 visa that included assisting companies in the United States to raise funds by establishing so-called Regional Centers, approved by USCIS, enabling them to raise funds from foreign investors. Represented multiple companies and local governments including multiple cities and states.
• Real Estate Practice: advised clients on residential and commercial real estate transactions including sales and purchases, closings, developments, and investment properties.
• Expert knowledge of various legal research, e-discovery, case management/CRM, and accounting/administrative software including LexisNexis, Westlaw, Relativity, MyCase, and QuickBooks.

Pro Bono Position

• Responsible for oversight of management, finances and strategic direction; building and maintaining community relationships and support; establishing ethical standards, values and legal compliance; and hiring and monitoring the Executive Director.
• Established a policy-based governance and management system to ensure adequate support and oversight in alignment with organizational goals and values.
• Developed and implemented a strategic 10 year growth plan which included adopting ethical and legal governance and financial management policies in order to steer the organization towards a sustainable future.

Partakers, Inc., is a 501(c)(3) Non-profit focused on criminal justice reform, providing education opportunities and mentorship to incarcerated individuals, and re-entry support services to those rejoining society.

• Business Immigration: Successfully represented dozens of clients in the following types of visas: H1-B, E-1/E-2, L-1A/B, O Visas, EB-5 Treaty Investor Visas, TN Visas, etc. Represented multiple Regional Centers in process of certification through USCIS EB-5 Program; ensured regulatory and immigration compliance of EB-5 Investors.
• Corporate Law Practice: represented client businesses in formation and incorporation of technology startups, mergers and acquisitions, investment and fund-raising including representation of VCs and founders through several rounds of financing from seed financing through Series A, AA, B, C, etc., through exit events such as acquistions and public offerings through a shell company.
