This Agreement shall be governed by and construed in accordance with the laws of Tennessee, without regard to or application of choice of law rules or principles. Any action seeking to enforce any term or condition of this Agreement, or any action alleging breach of any provision of this Agreement, shall be brought solely and exclusively in the state or federal courts located in Shelby County, Tennessee. For any such action, I expressly submit to the jurisdiction of the state and federal courts located in Shelby County, Tennessee, and expressly agree that venue is proper in such courts. 5. This Agreement is the entire and final agreement between the parties and all other prior agreements, arrangements, or understandings, oral or written, are merged into and superseded by the terms of this Agreement. If any part of this Agreement is held unenforceable, the enforceability of the remaining provisions will not be impaired. 6. The information that I have provided in my application for employment is true and complete to the best of my knowledge. Any misrepresentation or omission of any fact in my application, resume, or any other materials submitted to the Company or during my interviews, may result in denial of employment or termination of employment. I further certify that I completed my application for employment and accepted this offer of employment, including accepting the terms of this Agreement.
