• Lead attorney supporting all aspects of AppExchange ISV Partner Program. Led team of six attorneys and two contract managers.

• Drafted, updated and revised Partner Program Policies, Distribution Agreements, License Agreements, and Strategic Partnership Agreements.

• Provided first-line legal support on strategic partnership negotiations for the largest ISV partners in ecosystem.

• Provided product counseling on updates and terms of service for Salesforce AppExchange, Heroku Elements Marketplace, Tableau Exchange, and Commerce Cloud Link Partner Marketplace.

• Privacy / Product: Served as privacy and product counsel advising on GDPR, HIPAA, COPPA and CCPA for software and hardware products, including autonomous driving system (Samsung DRVLine Platform), IoT Platform (Samsung ARTIK Cloud Platform), and digital health (Samsung CardioBand). Advised on software issues relating to memory, IoT, and digital health products, including open source software incorporation; development kit distribution; third party licenses; firmware updates; end user license agreements; and joint development agreements with customers and partners.

• Sales & Marketing: Lead attorney for the sale and marketing of Samsung memory products in North America. Negotiated and advised on sales, distribution, warehousing, co-development, and co-marketing agreements. Provided antitrust guidance, compliance oversight, and training. Negotiated and advised on a wide range of inbound & outbound commercial contracts, including NDAs, MOUs, MPAs, JDAs, professional services, leases, and infrastructure.

• Corporate: Lead commercial attorney advising on all aspects of spin-offs from Innovation Center, advising on company formations, financing, stock plans, executive compensation, product development, commercial contracts, employment, sales and marketing.

Represented clients in complex commercial litigation in state and federal court.

Represented plaintiffs in civil rights litigation in state and federal court. Three jury trials.

Represented plaintiffs and defendants in antitrust, consumer protection, securities, intellectual property, and product liability litigation in state and federal court.

Represented Bay Area companies in intellectual property matters and complex commercial litigation in state and federal court.

Assisted on all aspects of civil and criminal matters before Federal District Court for one-year clerkship.
