Review purchase and sale agreement, prepare critical deadline summary and calendar deadlines with reminders, research state/county sites for ownership information, pull personal and real property tax bills, conduct lien searches, request title exams, updated surveys, Phase I/PCA Reports, and Zoning Reports through various vendors. Review title commitments, draft title objections/responses, draft, finalize and circulate sale/purchase closing documents, including but not limited to, deeds, assignments of purchase and sale agreements, various affidavits, UCC statements, corporate authority documents and settlement statements. Analyze leases to draft form Estoppels and/or SNDAs, if necessary. Review executed documents, consolidate signatures, scan, save, email and/or mail to appropriate parties. Coordinate closing logistics and disbursement of funds, prepare PT-61s, record deeds, mortgages, assignments, claim of liens, cancellations, and UCCs, in appropriate county/state court sites. Various post-closing duties.
  • Assist in Corporate Transactions: Gather pertinent information and submit entity registrations countrywide, primarily in Georgia, obtain Employer Identification Number(s) (“EIN”) via IRS website, file Beneficial Owner Reports (“BOI Reports”) via FinCen, obtain certificates of good standing or existence and other corporate documents from Secretary of State, etc. Assist in drafting operating agreements, assignments and consents for member interest transfer(s). Maintain logs for clients/entities to monitor and file annual registrations and initial BOI Reports.
