• 4.1, Assignment of Network Provider Agreement to Oscar. Network Provider further agrees that in the event of termination or expiration of the Agreement for any reason, or in the event Network Manager is dissolved, ceases operations or breaches the Agreement for whatever reason (a 'Agreement Termination Event'), the Network Provider Agreement between Network and Network Manager is assigned to Oscar. Such assignment will occur by operation of law and will not require any notice by Network Manager or Oscar regarding the Agreement Termination Event or consent by Network Provider to the assignment of the Network Provider Agreement to Oscar.
• 4.2, Continuation. Following any Agreement Termination Event and assignment of the Network Provider Agreement to Oscar, Network Provider shall continue to provide Covered Services to Members under the terms and conditions of the Agreement and Oscar agrees to continue to pay Network Provider in accordance with Exhibit 5.1.1 of the Agreement. Oscar may terminate Network Provider's participation in the Oscar network of Participating Providers at any time after an Agreement Termination Event on no less than thirty (30) days' written notice to Network Provider.
