  • Employee compensation/benefits: For services provided, Employer will pay Employee a minimum salary of $32 per hour, paid in accordance with Employer's monthly payroll procedures.

  • Employee's immediate supervisor will be responsible for evaluating performance, aptitude and compatibility with co-workers. At the end of the evaluation period, Employee will be issued a corporate package which may entitle Employee to additional benefits. In the event Employee's evaluation information indicates Employee does not qualify, employment will be terminated.
  • Vacation: Employee will accrue vacation at a rate of 35 days per year. Vacation approval will be handled in accordance with the normal practices of Employer.
  • Although vacations will be granted at times requested by Employee, Employer reserves the right to determine or approve the vacation time in order to ensure the efficient and orderly operation of the business. Employee is expected to use all vacation time in the year such vacation time is earned, and Employee shall not be able to accrue any vacation time in any year until the vacation time for the prior year has been fully used.
  • Expenses: Employer will reimburse Employee for reasonable expenses incurred by Employee in the performance of his duties. Reimbursement will be handled in accordance with Employer's normal practices and policies.
  • Conflicting employment: Employee agrees that during the time of his employment with Employer, he/she will not accept nor will he/she engage in employment, consulting or other business activity directly related to the business of the Employer.
  • Confidentiality: Employee acknowledges that he/she may have access to the Employer's confidential and proprietary information. Such confidential information may include, without limitation: i) business and financial information, ii) business methods and practices, iii) technologies and technological strategies, iv) marketing strategies and other such information as the Employer may designate as confidential ('Confidential Information'). Employee agrees to not disclose to any other person (unless required by law) or use for personal gain any Confidential Information at any time during or after the termination of employment, unless Employer grants express, written consent of such a disclosure. In addition, Employee will use his/her best efforts to prevent any such disclosure. Confidential information will not include information that is in the public domain, unless such information falls into public domain through Employee's unauthorized actions.
  • Non-compete agreement: Following the termination of employment, Employee agrees not to engage in any business similar to or in competition with the business of the Employer in the geographical area for a period of one month.
  • Non-solicitation of employees: Employee agrees that for a period of six months following the termination of his/her employment, Employee will not induce, recruit or solicit any of the Employer's Employees to terminate their employment or enter into another employment arrangement with a third party.
  • Assignment/assistance: During the course of his/her employment Employee agrees to: (I) assist Employer in obtaining copyrights, patents, or any other intellectual rights; (II) provide all pertinent information and data to Employer, (III) execute all applications, assignments and other instruments as required by Employer; and (IV) at Employer's request and expense, assist in the defense and prosecution of its intellectual rights in the Inventions.
  • Other rules and policies: Employee agrees to abide by any other rules, policies or procedures as communicated by Employer that are generally applicable to Employees of Employer.
  • Return of property: Upon termination of employment, Employee will return to Employer all drawings, documents, and other tangible manifestations of Confidential Information (and all copies and reproductions thereof). In addition, Employee will return any other property belonging and/or provided by Employer including without limitation: computers, office supplies and documents.
  • Continuing obligations: Notwithstanding the termination of Employee for any reason, the provisions of paragraph 5, 6, 7 and 8 of this Agreement will continue in full force and effect following such termination.
  • Waiver: The failure of either party to enforce any provisions of this Agreement shall not be deemed a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
  • Severability: If any part or parts of this Agreement shall be held unenforceable for any reason, the remainder of this Agreement shall continue in full force and effect. If any provision of this Agreement is deemed invalid or unenforceable by any statute, ordinance or court of competent jurisdiction, and if limiting such provision would make the provision valid, then such provision shall be deemed to be construed as so limited.
  • Entire agreement: This Agreement constitutes the entire agreement between the Parties and supersedes any prior understanding or representation of any kind preceding the date of this Agreement. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Agreement. This Agreement may be modified in writing and must be signed by both Employee and Employer.
  • Law governing agreement: This agreement shall be governed by and construed in accordance with the laws of the United States.
  • Attorney's Fees and Costs: If any legal action is necessary or brought in any court or arbitration proceeding, to enforce or interpret the terms of this agreement, the prevailing party shall be entitled to reasonable attorney's fees, costs, and necessary expenses, in addition to any other relief to which such party may be entitled. This provision shall be construed as applicable to the entire contract.
